This agreement (“Agreement”) is entered into between Thahab (“Platform”) and the registered jewelry retailer or store (“Store” or “Seller”) wishing to use the Thahab e-commerce platform. By accessing or using the Platform, you acknowledge that you have read, understood, and agreed to abide by the terms below.
1. DEFINITIONS
- Platform: Thahab application and associated digital services.
- Seller/Store: Any licensed gold/jewelry retailer registered on Thahab.
- Customer: End-user purchasing products from the Store via Thahab.
- Products: Gold, jewelry, or related items listed for sale.
- Governing Law: Kingdom of Bahrain laws, including GCC e-commerce regulations.
2. ELIGIBILITY AND REGISTRATION
To join Thahab as a Store, you must:
- Possess a valid commercial registration (CR) in Bahrain or GCC countries.
- Be licensed to sell jewelry, gold, or precious items per Bahrain’s Ministry of Industry, Commerce, and Tourism (MOICT) guidelines.
- Provide supporting documentation such as:
- Commercial license
- VAT registration
- Gold purity certificates (if applicable)
- Compliance with Bahrain’s Precious Metals and Stones Law.
- Thahab reserves the right to verify and reject any application that does not meet eligibility criteria.
3. SELLER RESPONSIBILITIES
The Store agrees to:
3.1 Product Standards:
- Ensure all products meet Bahrain’s hallmarking and gold purity laws.
- Clearly specify product weight, purity (e.g., 18K, 22K), and gemstones where applicable.
- Maintain accurate product descriptions, pricing, and images.
- Ensure listings follow platform guidelines on language, image quality, pricing format, and inventory tracking.
3.2 Authenticity and Compliance:
- Guarantee 100% authenticity of listed products.
- Abide by Bahrain’s Consumer Protection Law for sales, returns, and refunds.
3.3 Customer Support:
- Respond to customer inquiries within 24 hours.
- Process and honor refund or return requests in accordance with Thahab’s Return Policy.
3.4 Prohibited Activities:
- Must not list counterfeit or non-compliant products.
- Must not use misleading descriptions, pricing manipulation, or deceptive practices.
- Must not engage in direct transactions outside the Thahab Platform.
3.5 Product Delivery and Logistics
The Store will be responsible for the purchased products delivery:
- Ensure delivery is completed within the agreed period.
- The store will be responsible for any delays.
- The store will be responsible for any damaged delivered products.
- The store will be liable for any lost or stolen products during delivery.
3.6 Performance Standards
- Avoid excessive cancellations or delivery delays.
- Acknowledge that poor performance may lead to account suspension.
3.7 Merchant Portal
The Store will be responsible for maintaining its own merchant portal:
- Quality of uploaded Images.
- Display the Correct Price for each product.
- Display the Correct quantity for each product.
- Ensure the products description is correct.
- Manage Add-ons (if any).
- Ensure updating the tracker for each stage.
- Ensure all inventory all properly managed.
4. PLATFORM RESPONSIBILITIES
Thahab agrees to:
- Provide the Store with a secure and reliable platform for operations.
- Facilitate payment processing and ensure financial settlements.
- Offer data protection and cybersecurity in compliance with Bahrain’s Personal Data Protection Law (PDPL).
- Address customer disputes and platform-related queries in a timely manner.
5. FEES AND PAYMENTS
- At present, Thahab does not charge the Store any transaction fees, except for standard payment gateway charges.
- Thahab reserves the right to introduce or revise its transaction fee structure in the future. Any such changes will be effective upon updating the Terms and Conditions on the Thahab platform and will be communicated to the Store.
- Payment settlements to the Store will be processed within seven (7) to fourteen (14) business days after confirmation of successful order delivery by the customer, subject to applicable payment gateway processing times.
6. RETURN, REFUND, AND DISPUTE POLICY
- Thahab's Refund and Return Policy must align with MOICT’s consumer rights regulations in Bahrain.
- Disputes involving product authenticity or damage will be resolved based on evidence (e.g., images, certifications).
- Sellers must accept returns for defective products as per applicable laws.
7. INTELLECTUAL PROPERTY RIGHTS
- The Store retains ownership of its trademarks, logos, and product content.
- The Store grants Thahab a non-exclusive license to use store content for platform promotions.
8. TERMINATION
8.1 By Either Party:
- Either party may terminate this Agreement with a 30-day written notice.
8.2 By Thahab:
- Thahab may suspend or terminate access immediately if the Store violates Bahrain’s laws, this Agreement, engages in illegal activities, or for reasons deemed materially detrimental to the platform.
9. LIABILITY AND INDEMNITY
- The Store is fully responsible for product quality, compliance, and legal violations.
- Thahab shall not be liable for disputes arising between the Store and the Customer.
- The Store agrees to indemnify Thahab against claims, damages, or legal liabilities resulting from non-compliance.
10. GOVERNING LAW AND JURISDICTION
This Agreement is governed by the laws of the Kingdom of Bahrain. Any disputes shall be subject to the exclusive jurisdiction of Bahrain courts.
10. AGREEMENT UPDATES
Thahab may amend this Agreement by providing notice through email or any mean of communication. Continued use of the Platform after notice constitutes acceptance of the updated terms.
11. ACCEPTANCE
By clicking “Accept” during the registration process, the Store confirms that it has read, understood, and agreed to be bound by the terms and conditions set forth in this Agreement. This digital acceptance is legally binding and constitutes the Store’s consent to comply with all obligations outlined herein.
